About Opportunity

Avaya seeks an experienced and business-oriented Senior Corporate Counsel to join its International Legal Team. This role will primarily support Avaya's business operations in the Middle East and Africa while also providing legal support for strategic corporate, governance, regulatory and restructuring matters across EMEA and APAC.

The successful candidate will serve as a trusted legal advisor to business stakeholders and management, providing practical and commercially focused legal advice on complex transactions, regulatory matters, corporate governance, compliance initiatives, disputes and strategic projects.

The role will have significant exposure to multinational legal issues, cross-border transactions, entity management and transformation initiatives. The successful candidate will work closely with regional business leaders, external counsel and legal colleagues globally. This position will be based in India and report to the Associate General Counsel EMEA & APAC.

Key Responsibilities

Commercial & Business Support

  • Draft, review and negotiate a broad range of commercial agreements, including:

    • customer and partner agreements;

    • cloud and SaaS transactions;

    • professional services agreements;

    • procurement agreements;

    • confidentiality agreements;

    • technology and outsourcing arrangements.

  • Provide practical legal guidance to sales, services, finance, HR and operational stakeholders.

  • Support strategic customer negotiations and executive-level commercial discussions.

  • Advise on contract interpretation, risk allocation and dispute avoidance.

Corporate Governance & Legal Entity Management

  • Support governance and corporate secretarial matters for entities across EMEA and APAC.

  • Coordinate board meetings, shareholder resolutions and corporate approvals.

  • Support legal entity restructurings, recapitalizations, liquidations and other corporate transactions.

  • Manage relationships with external counsel and corporate service providers.

Regulatory & Compliance

  • Advise on telecommunications, technology, privacy, cybersecurity and digital regulations.

  • Support compliance with applicable laws and internal policies.

  • Assist with regulatory investigations, government inquiries and audits.

  • Support implementation of global compliance initiatives.

Strategic Projects

  • Support mergers, acquisitions, divestitures, outsourcing projects and other strategic initiatives.

  • Participate in cross-functional projects involving finance, tax, treasury, HR and operations.

  • Assist with global legal transformation and process improvement initiatives.

  • Provide legal support for special projects directed by senior management and the General Counsel organization.

Disputes & Risk Management

  • Manage disputes, litigation and pre-litigation matters with external counsel.

  • Advise business stakeholders on risk mitigation strategies.

  • Support investigations and preservation of legal privilege.

Essential Requirements

  • Law degree and admission to practice in a relevant jurisdiction.

  • Minimum 7-10 years of post-qualification legal experience in a leading law firm and/or multinational in-house legal department.

  • Significant experience supporting international commercial transactions.

  • Experience managing legal matters across multiple jurisdictions.

  • Strong understanding of corporate governance and legal entity management.

  • Excellent drafting, negotiation and stakeholder management skills.

  • Ability to operate independently and manage competing priorities in a fast-paced multinational environment.

  • Strong commercial judgment and pragmatic problem-solving skills.

  • Excellent written and verbal English communication skills.

  • Ability to work effectively across cultures and time zones.

 

Preferred Experience

  • Experience supporting Middle East and African jurisdictions.

  • Experience in the technology, telecommunications, software or cloud sectors.

  • Experience with corporate reorganizations, M&A transactions and post-acquisition integrations.

  • Familiarity with data privacy, cybersecurity and telecommunications regulatory frameworks.

  • Experience managing external counsel and legal budgets.

  • Additional language skills (Arabic, French or another major regional language) would be advantageous.
