About the Opportunity
Avaya seeks to add a highly talented individual to its International Legal Team supporting the company's business in Japan. The primary job responsibility of this Corporate Counsel position is providing general in-house legal support (e.g., on corporate, data protection, regulatory or HR matters) as well as providing strategic advice and counsel to business clients in Japan. You will also be responsible for adjusting and translating Avaya’s global contract templates and to provide negotiation and transactional support of our business in Japan. You will work collaboratively with the respective business organizations in Japan and the broader legal and contracting team globally to ensure best-in-class support to our partners and customers in Japan. This position is based in Tokyo Japan and requires an independent, self-motivated and well-organized person that also manages the legal related administrative work. In such role you will be reporting to the Associate General Counsel EMEA & APAC.
About the Responsibilities
• Provide information on Japanese law, including changes in the law, to facilitate business planning
• Organize shareholders' meetings and board meetings, taking minutes and, if necessary, amending the company register. Maintaining the internal corporate database.
• Advise on data protection issues, responding to inquiries from partners/customers and amending the data protection policy if necessary. Serve as data privacy steward.
• Manage lawsuits in cooperation with outside counsel.
• Adjust global agreement templates in compliance with Japanese law. Review and negotiate all kinds of legal agreements such as partner agreements, service agreements, NDAs, HR documents, lease agreements that bind the company. Manage internal approval process including preparation of legal slide for deals desk review, send DocuSign package, fill in and upload necessary information to internal contract data base.
• Conduct legal training for the Japanese team, e.g. new hire training, data privacy training, etc.
• Respond to inquiries about Japanese law aspects re certain contract terms or other issues.
• Advise on Japanese regulatory framework, e.g. on telecommunication law applicable to new services.
• Manage Representative Director Seal and provide advice on compliance issues.
• Support the global legal team and participate in global legal initiatives.
• Provide Japanese language support, e.g. legal check of Japanese translation of EULA
About the Requirements
• Law degree plus admission in Japan
• At least 2-3 years commercial legal experience under private practice or in-house with international environment.
• Native Japanese and business level English
• Independent work capability, self-motivated, result driven, open minded, collaborative and sensitive to multicultural working environments and excellent team player
• Excellent negotiation and contract drafting skills
• Demonstrated ability to balance legal and business considerations, problem solve and operate largely independently in a diverse and fast-paced environment
• Strong organizational and communication skills, time management skills, attention to detail and sense of urgency
• Ability to think creatively, identify solutions, take ownership of tasks and adapt to changing business requirements
• High level of accountability and integrity
Helpful Skills and Experience
• Data Privacy and Telco Regulatory Experience preferred
• Experience negotiating Cloud and Software as a Service deals
